  • What is a UG business account?

    A UG business account is a business account that is opened specifically for an Unternehmergesellschaft (haftungsbeschränkt) – or UG (haftungsbeschränkt) for short. The UG is a corporation under German law and is similar in structure to a GmbH, but with a lower share capital starting at €1.
  • Why does a UG need a business account?

    As a legal entity, the UG is obliged to keep its private and business finances strictly separate. A business account is therefore:
    • Required by law for the payment of the share capital
    • Necessary for the UG’s payment transactions such as invoices, salaries and taxes
    • Basis for proper bookkeeping and annual financial statements
    • Often a prerequisite for entry in the commercial register
  • Can a private current account be used for a UG?

    No, a private current account should not be used for the business activities of an entrepreneurial company (UG). The use of a private current account for a UG contradicts the fundamental principles of German commercial and tax law as well as the requirements for correct accounting and transparency in business transactions.
  • Can a UG have several business accounts?

    Yes, a UG (haftungsbeschränkt) can have several business accounts. There is no legal limit to the number of business accounts a UG may have. For practical and strategic reasons, many companies even consciously decide to use multiple accounts – for example for the following purposes:
    • Separation of payment flows, for example for different business areas or locations
    • Better liquidity planning through sub-accounts or accounts with specific purposes such as tax or reserve accounts
    • Additional functions or benefits at different banks, for example cashback, international payments or API access
    • Risk minimization through distribution across several banks, for example in the event of insolvency of a payment service provider
  • What happens to the UG business account when the UG is dissolved?

    When a UG (haftungsbeschränkt) is dissolved, the business account – even in the case of a fintech such as Finom – initially remains in place and continues to be managed by the liquidator. It is used to process all outstanding payments, collect receivables and manage the assets during the liquidation phase. Once the statutory blocking year has expired and the UG has been fully liquidated, the remaining assets are paid out to the shareholders. With the final deletion of the UG from the commercial register, the business account is also closed.
