  • What is an AG business account?

    An AG business account is a bank account that is opened and managed specifically for a public limited company (AG). It is used to process all financial transactions of the company – for example, the payment of invoices, salaries, taxes or the receipt of customer payments.

    The main features of an AG business account are:
    • The account holder is the AG, not an individual natural person.
    • Only authorized representatives act in a legally binding manner, usually board members with individual or joint power of representation.
    • For the notarized formation of an AG, the share capital of at least €50,000 must be paid into a business account – usually a so-called capital investment account.
    • Use exclusively for business purposes: Private payments or mixing with private finances are not permitted.
  • When can I apply to open an AG business account?

    The opening of an AG business account can be applied for before entry in the commercial register. This is necessary because the minimum share capital of €50,000 must be paid into the account so that the AG can be entered in the commercial register. As soon as the capital has been paid in, the bank issues a deposit confirmation, which is required for registration in the commercial register. After registration, the account can be used in full.
  • What happens to the AG business account if the AG is dissolved?

    If an AG is dissolved, the AG business account remains in place until all legal and financial obligations have been settled. After the dissolution of the AG, there is usually a liquidation phase in which the account is used for the following purposes:

    • Settlement of outstanding invoices and debts
    • Payment of the remaining company assets to the shareholders
    • Fulfillment of tax obligations

    As soon as the liquidation is completed and the AG is deleted from the commercial register, the business account is terminated.

  • Who can open a business account for an AG?

    A business account for a public limited company (AG) can generally be opened by the legally authorized representatives of the company, i.e. the members of the board of directors or managing directors. They are authorized to act on behalf of the AG and to take all necessary legal and financial steps to open the account. It is also possible for other persons, such as authorized signatories, to take on the task of opening a business account with appropriate authorization. However, these powers of attorney must be clearly defined and documented and presented to the bank when the account is opened in order to prove the authority of these persons
